Nominee Director UK Cost – Complete 2025 Pricing Guide

Nominees / Nominee Director

Appointing a nominee director can help overseas entrepreneurs meet the UK legal requirement of having at least one natural person on the board of a limited company. This 2025 pricing guide explains the full cost of a UK nominee director service, including compliance obligations and key considerations for non-UK residents.

Why Nominee Director Services Are Needed

Under UK company law, every limited company must appoint at least one natural person as a director. For non-UK residents, this can present challenges, particularly if a UK resident director is required for banking, compliance, or business credibility. A nominee director provides a lawful solution while ensuring full transparency with the Persons of Significant Control (PSC) register.

Key reasons to appoint a nominee director:

  • Meeting Companies Act 2006 requirements for UK companies
  • Supporting bank account opening and client trust
  • Protecting privacy while remaining compliant with disclosure rules
  • Facilitating smooth company formation for non-UK residents

FAQs

Yes. Nominee directors are permitted under the Companies Act 2006, provided transparency rules are followed. The beneficial owner must still be recorded in the PSC register.

Our nominee director can complete the KYC verifications required of a director. However, please note that banks will require full disclosure of the ultimate beneficial owner (UBO). The nominee will not be the account holder; the UBO must be the account holder.

As we are supervised by HMRC for Anti-Money Laundering (AML) regulations, we are required to collect the following documents from the Ultimate Beneficial Owner (UBO):

  1. Valid Passport Copy & Credas Verification

    • A clear copy of the UBO's valid passport.
    • Completion of a Credas verification, which confirms the passport's authenticity and the individual's liveness. This identity verification is a regulatory requirement and takes only a few minutes to complete. We will send the link to you.
  2. Certified Proof of Address (dated within the last 3 months)

    Acceptable documents include:

    • Utility bills (gas, electricity, water, landline telephone - not mobile phone bills)
    • Bank or building society statements
    • Credit card statements from a regulated lender
    • Government-issued letters (recent and official)
  3. Enhanced Due Diligence

    • Because the use of a nominee director is classified as high-risk under our compliance framework, we must perform Enhanced Due Diligence.
    • The UBO must provide Source of Funds and Source of Wealth information to satisfy these requirements. We will provide guidance on the documents we accept.
